Terms of Service

Effective April 11, 2026

These Terms of Service (“Terms”) govern your access to and use of the Engram service, including the website at getengram.app, the MCP server at mcp.getengram.app, the Engram SDK, the Engram CLI, and any related services (collectively, the “Service”) operated by Get Engram LLC (“Engram”, “we”, “us”). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Engram is a memory service for AI agents. It stores verbatim conversation transcripts you send to it and makes them retrievable via semantic search. You send data to Engram; we store it and return it to you when you ask for it.

2. Accounts

You must provide a valid email address to create an account. You are responsible for all activity that occurs under your account and for keeping your API keys confidential. If you believe a key has been compromised, rotate it immediately via the dashboard.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

3. Your Content

You retain all rights to the conversation data, metadata, and tags you send to Engram (“Your Content”). By using the Service, you grant us a limited, non-exclusive license to store, process, index, and return Your Content solely for the purpose of operating and improving the Service for you.

We will not sell Your Content, will not use it to train third-party models, and will not share it with other customers. See our Privacy Policy for details.

You are solely responsible for Your Content and for ensuring you have the right to send it to Engram. Do not send data that you do not have the legal right to store or process, including data belonging to third parties without their consent.

4. Acceptable Use

You agree not to:

  • Use the Service to store or transmit unlawful content;
  • Attempt to access other customers' data or bypass tenant isolation;
  • Reverse engineer, decompile, or probe the Service beyond what is permitted by applicable law;
  • Use the Service to build a product that is substantially similar to Engram and competes with it;
  • Send traffic that materially exceeds the limits of your plan or that we reasonably believe is abusive, fraudulent, or denial-of-service in nature.

5. Plans, Billing, and Usage

The Service is offered under the plans described on the pricing page. Free accounts are subject to monthly message quotas. Paid accounts are billed in advance on a monthly basis via Stripe, our payment processor. Usage beyond your plan's included quota may be throttled or rejected.

Fees are non-refundable except as required by law. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period.

6. Service Availability

We work hard to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, upgrades, or reasons outside our control.

7. Termination

You may stop using the Service and delete your data at any time via the dashboard. We may suspend or terminate your account if you materially breach these Terms, if your account is inactive for an extended period, or if required by law. Upon termination, we will delete Your Content within 30 days, except where retention is required by law.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ENGRAM DOES NOT WARRANT THAT SEARCH RESULTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR USE. YOU ARE RESPONSIBLE FOR EVALUATING OUTPUTS BEFORE RELYING ON THEM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGRAM'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU ARE ON A FREE PLAN. ENGRAM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.

10. Indemnification

You agree to indemnify and hold Engram harmless from any claim arising out of Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

11. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced via email or a notice on the Service at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
